An LLC is a Limited Liability Company. It is a business entity like a corporation or a limited partnership. It may hold assets in its own name, enter into contracts, sue and be sued and do all activities permitted a business entity in this country. Although it has been utilized in Europe for many years, it is considered the "new kid on the block" in the United States. It was first developed in Wyoming around 1975. It was not until the mid 1990s that the LLC was recognized as a separate distinct business in all 50 states of the country.

The LLC has two distinct participants. The owners of the LLC are called "members." The LLC was be run by a "manager." It may be formed as a "member-managed" LLC. Or it may be formed as a "manager-managed" LLC. If it is formed as a "member-managed" LLC, all the members [owners] of the LLC have managerial responsibilities and duties.

On the other hand, if it is formed as a "manager-managed" LLC, the LLC is run by one or more persons or entities that have been designated to act as the manager of the LLC. In this case the members of the LLC have no managerial responsibilities or duties. The remaining members merely act as "passive investors" and will have no say in the running of the LLC. However, a member of a "manager-managed" LLC may also act as the manager. In that case the member will also be the manager, but the other members will remain as "passive investors."

The LLC may be formed and taxed in different ways, unlike partnerships or corporations. An LLC may be formed and taxed as a C corporation, an S corporation, a limited partnership, a sole proprietorship or a disregarded entity. The method of formation and taxation which is utilized will depend upon how the LLC will be used.

The LLC is an excellent asset protection entity. A judgment obtained against the LLC may be enforced only against the LLC. Neither the members nor the manager are liable for the debts and obligations of the LLC. The members may lose their investment in the LLC, but the judgment creditor cannot attempt to collect that judgment from the member directly. He or she is not liable for that judgment. Neither is the manager.

In the event a judgment creditor obtains a judgment against one of the members of the LLC, the LLC is not liable for that judgment. The creditor cannot take any of the assets of the LLC in order to satisfy the judgment for those assets are owned by the LLC and not the individual member. The only avenue open to the judgment creditor to collect his/her judgment is through the issuance of a "charging order." A charging order requires the manager to pay any profits designated to the debtor member to the judgment creditor instead. However, while the judgment creditor is waiting to receive the profit checks, he/she has no other rights regarding the LLC. The creditor may not go to member meetings, examine the books and records of the LLC nor become privy to any of the inner workings of the LLC. Once the judgment creditor has received satisfaction of his/her judgment, he is out of the picture and the debtor member of the LLC retains all his ownership interests in the LLC.

However, again the owners of the database have tried to make sure that the website information is correct and have been constantly changing the formula used to determine how a website should be listed based on it keywords, headers, titles, content, alt tags, etc. Some database owners even have people visit the website and make a judgment call. All of this is to insure that when you enter a search phrase into the search engine you receive the type of information you want. If you are happy with the search engine you will continue to use it and the advertisements placed on the search engine will help pay for the site.

PPC Search Engines charge you each time a user clicks your listing and goes to your website. In addition, many PPC have made arrangements with other search engines to place the paying website URL at the top of the listing (these are called sponsor sites). What does that mean for you as a website owner? Well, it means lots of traffic to your website that you can sell to over and over again. What will it cost? Hmmm how many secrets to give away in a free book :). Oh well, why not! The cost is dependent on how many other people want to be in the top listing. For example: Overture.com has agreements with Yahoo, MSN, AOL and others that the 3 top bidders for keywords will be listed in the top 3 spots for that keyword on each of these search engines. Let’s say I sell training, I research the keywords and find out that the top 3 positions go for $1.50, $1.45, $1.00 per click to my website. I have a product that sells for $795 per course. I could bid $1.51 and take the top spot. But remember I will have to pay the PPC for each person that clicks on my link. It can quickly run into the hundreds of dollars. I could also pay $1.01 and take the 3rd position saving me $.50 per click. Not all keywords are that expensive...some are more :). Actually you may find your keywords very inexpensive around 10- 20 cents per click.
PPC also do not care about keywords, titles, headers, content etc. So I can write a more compelling description here that will call to action the searcher to click on my site. BUT, once there I want to do everything I can to get them to leave their email address in exchange for my free product or gift. I do not want them coming back though PPC again. It will cost me more money that way. If I have their email address I can send them my link in other correspondence. We will talk about that later in auto responders.

Here is a list of some of the PPC. Since they drive qualified traffic to your site I would recommend using all of them. You will find your keywords cheaper on the less used sites but that is still traffic that you can sell to.

Greg Reyes saved my life.

My name is Dana. I was born in San Francisco, and raised in Marin County. I am 38 years old currently residing in Kirkland Washington.

I met Greg on his 40th birthday. I was working as an Event Producer for Bill Graham Presents in San Francisco, and planned Greg's surprise party with his lovely wife Penny. For the 8 months I worked on preparing for that event, I interviewed Greg's friends, family and coworkers to get an understanding of who he is as a person. Very quickly, I began to see and feel the positive effects this man has on the people around him.

It wasn't until 2 years later that I personally experienced Greg's generous spirit myself. You see, I had a mysterious illness that rendered me unable to continue my work as a producer. I began to experience severe neurological symptoms to the point of seizures. After many doctor's visits, it was determined that I had Lyme disease. What was most disturbing about this news was that because I had gone 5 years without treatment, I was now in the late stages of the disease. At 35, and at the height of my career, I had no choice but to leave the job I loved so well.

A year after I had to leave my job due to this illness, my state disability ended. I was still very ill, penniless and lost without proper care - and quite honestly ready to give up.

In a desperate attempt to survive, I sent out a letter to family and friends asking for help. Greg and Penny responded with a generous donation and a kind letter of support. With their donation I was able to get a barrage of critical tests that would finally determine my treatment plan and get me on the road to recovery.

Greg and Penny's interest in me didn't stop there. They have stayed in touch and kept up with my treatments and progress. While he barely knew me, Greg and Penny stepped in where my family could not. Their concern and care has gone way beyond the financial.

In the fall of '05, I was asked to be a character in a documentary film on Lyme disease; directed by Andy Abrahams Wilson.

Even though he was facing enormous challenges of his own, his commitment has been unwavering. With the Reyes' continued support I have received the care of one of the finest specialist in the world for this devastating disease. For the first time in nearly a decade, 1 have a chance at a wonderful life. Now, deeply in love and soon to be married, 1 have been resurrected.

It is strictly speaking, it is not a trading technique. It has however become very popular as a trading technique because of the short term gains that can be made.
The No Stop system trades without stops. No stop loss orders are used at all except for when a group of transactions have a positive result and we want to liquidate the entire group of transactions at a net gain. Because the No Stop system cashes in its transactions regularly it becomes a trend following No Stop system too. There is no need for charts when using this No Stop system as we use predetermined price levels to cash in transactions positively (The No Stop system loves price spikes).

Transactions can or should be slow at a rate of about 3 to 4 a week. As price levels are determined well in advance orders can be placed well in advance so the No Stop system takes very little supervision. The technique is highly systematic and can easy be converted into an automatic trading system or expert advisor very easily.

The No Stop system is always in a sell and a buy at the same time and therefore can cash in on any move the market makes. Being in a sell and a buy at the same time also created a hedge. Predetermined cash in levels create a grid of price levels there positive transactions will be cashed in continuously until the group of transactions are profitable.

In simple terms you will enter the market at a particular level with an active bay and a sell. You would have predetermined levels at which you would cash in positive transactions. The big danger of this No Stop system is strong trends with no or very few retracements. You will lose money in trends. There are however specific techniques to manage and contain these losses.

The biggest one is to start with a big grid gap. What is a trend on a 5 minute chart could be a small spike on a daily or weekly chart. Grid gaps of between 150 pips and 300 pips have been found to work well.

One could also vary the grid sizes relative to the trend to reduce the number of unhedged transaction. For example have grid gaps of 100, 200, 300 etc.

The other way is to vary the number of lots used when entering into the buy and sell transactions at a particular cash in point to ensure balanced hedging.

Trends tend to scare people away from this technique but if one views this as an investment technique and not a trading technique the trends could have a reduced impact on the annual return on investment. The market only trends 20% of the time any way. Talking about return on investment some current trading groups are showing returns of between 200% p.a. and 1000% p.a. on current investment levels. This blog is on cheap landscaping ideas. One of the main hassles of a garden is not planting, but weeding. Weeds grow with remarkable speed and can quickly overtake a garden. Using a poison or herbicide like roundup is not recommended as you might kill your plants. I know that the manufactors claim the product breaks down in the soil very quickly but I find with my lawn edges after a second dose of roundup no grass is growing there six months later.
In moving into a new rental property I had a large front garden with a nice quickkerb concrete border to highlight the beautiful weeds. So I began to weed, got sick of it and left it for a month. Big mistake, there were now more weeds than ever. I was going to have to have mulch it or spend everyday in the garden. With the landlord not interested in paying for it it was going to have to come out of my own pocket. Now I don't mine paying for gardening supplies, plants, etc when its my own place, but I'm certainly not keen on giving my landlord a free ride.
So I needed a cheap mulching option, that would look good, work, but not cost too much.
I chose three basic supplies, newspaper -the local rags free and it doesn't take long to build up a stock pile of papers, sugar cane mulch - its comes in a big bags and is cheap, and finally a few bags of bark - not so cheap, but as you will see its used to give colour not as a mulch so only a little bit is required.
Step One:-
Prepare the garden, yes this means a huge effort and weed the whole garden by hand. Rake over the soil so its nice and smooth and then apply the newspaper. The thicker the better.
Min. six sheets thick. Spread it out and then with a hose wet it all down so it soaked. The now heavy paper won't blow around in the wind and will mold better to the grounds surface.

Step Two:-
Next spread out the sugar cane mulch. If you cant access cheap sugar cane mulch, try straw, but ensure it has no seeds in it. Make sure all the paper is covered. It doesn't have to be deep, just enough to cover all the paper. Once again apply water to damp down the mulch. Once watered it takes on a lovely golden colour.

Step Three:-
Now apply the bark. Just grab handfulls and throw it around. You don't want to totally cover the yellow mulch, the barks mainly to give colour and to contrase with the mulch.

I have found this to be a very effective mulch. A year later and few weeds can get through. Nutgrass was the only successful one and I pulled those out by hand and even the nutgrass gave up the fight. The beautiful browns and golden colour unfortunately fade under the harsh sun, but by that time you should have plenty of flower to make up for it. Best of all - NO WEEDING, yes.

To my dismay, they wanted $120 just to talk to me, and my bet is they wanted another $1,000 or so to upgrade the software. On their Website I could not find any way to buy support for this model any more. And by the way, to add replication between 2 of their Snap servers, it would cost something like $1,000 per box.

So, here we are, with 2 boxes, no support, and I'll bet that you can't even buy parts for it any more from Snap, much less anywhere else (maybe eBay?).

Off we go to buy new NAS replacements. Originally these 14000's were $10K apiece, for roughly 1TB of storage. All things being equal, I should be able to buy a NAS box for really cheap (yeah right!). What I found was that a high-quality NAS system that would do RAID 5 would cost between $3,500 and 4,500, not to mention that a 1TB Snap 520 would be over $5K. That is when we decided to build our own NAS servers!

With a great backround in PC/server hardware, it was easy for me to pick top-quality hardware and brand name components. I still have Pentium Pro servers that work! I chose the best hardware, put it in a rack mount server case, and voila! I have a NAS server. Here is the list of components:

We need an OS now, and for that I picked FreeNAS (http://www.freenas.org) which runs on FreeBSD. You can't ask for a more stable operating system. And by the way, the FreeNAS OS runs from memory and boots from a CF card (no chance of the hard drive crashing and destroying the config). This custom built NAS system has turned out great, and our client is very pleased with the money we saved them.

The correct grip is a key fundamental component of a golfer’s game and is required to have a consistently good straight game, giving you the ability to shoot low scores with ease.

When the grip is faulty, poor shots often result along with an inconsistent and unreliable game. Therefore it is essential for your game that your grip is correct if you want to take your golf to the next level.

Firstly place the club in your left (opposite for lefthanders) hand, close your left hand around the grip as if you were shaking somebody’s hand. Your thumb should be pointing down the grip, slightly to the right of centre.

Then bring in the right hand, firstly interlock the little finger of your right hand with the forefinger of your left hand. The underside of the grip should be placed on the joints of the second and third fingers of the right hand. Your right thumb should also be pointing down the grip, while your right palm should be facing towards the target with your left hand facing away from the target.

Two V’s should be formed by the thumb and forefinger of each hand, these should both point somewhere between your right shoulder and eyes.

When holding the club, the club must be held firmly but with the minimum of effort. Having the correct grip allows your hands to work freely with the utmost control while a poor grip leads to a lack of club head control.

• Your arms and hands are relaxed.

To test that you have a good grip, it should feel as though both your hands work together as if one. When you lift the club and move it, your hands should feel comfortable and secure.

Problems and cures for slightly faulty grips: You may find that you are slicing the ball; this could be due to a problem with your grip, (although it may be due to other reasons mentioned in my other article that aims to solve the slice) try rotating your grip slightly clockwise around the grip; also try holding the club more in the palm of your left hand.

If you have problems with hooking the ball, make a conscious effort to feel the ends of the fingers on your right hand pushing upwards through impact with the ball. This should help prevent you from closing the clubface on impact and so helps prevent you from hooking the ball.

This is especially useful for basic tasks like form filling or repetitive tasks like checking your stats on multiple affiliate networks. If you learn how to use its datasources feature, it can even be expanded to create macros to perform more complex tasks like creating accounts and posting links for you. To create scripts, it really is as simple as pushing a button to record and then performing a sequence of tasks in the browser. You can then save your scripts and play them back whenever you need to. iMacros is simple and I recommend it for people just getting started with automation.

UBot is a little more powerful than iMacros, but it has a higher learning curve. Basically UBot allows you to create your own web bots using its own Visual Scripting Language. This language is completely graphical, unlike standard programming languages. That means that even non-programmers should be able to pick it up if they have the inclination to. UBot is more flexible than iMacros because it supports branching, looping and constructs like that. It also comes with built in functions for proxy switching, captcha input, page scraping and a whole lot more. Plus if you build some decent bots with UBot, you can compile them into self contained programs that you can then give away or sell.

Both iMacros and UBot are great tools for automating repetitive tasks that you need to do on the web. If you are just getting into automation, then I would recommend taking a look at iMacros first. It's free and quite easy to use. However, if you want to build something more sophisticated, then take a look at UBot. It's extremely powerful and you can create bots that do some amazing things with it.

I have tried many opportunities and techniques but it was through my failures I've learnt and consolidated a simple technique to succeed as an online business owner.

I can assure you that, although you will need to acquire some basic technical skills, your success will depend not on your programming or typing skills but more on what you have between your ears.

Below is my list of what you'll need and have to do, to succeed as an online business owner.

1. Have a dream and persistence. If you haven't got a dream and the persistence to follow it through then you will fail, guarantied.

2. Have a mentor. Find someone who has gained the experience in this field. Beg, crawl, wash their car, do whatever takes to become their student. Listen to their advice and learn from their failures and successes. You'll save yourself a lot of time, effort and money not to mention heartache and disappointment.

3. Find a hobby, a 'pet' project, something you are interested in and would do without payment or rewards. If it gets you excited, keeps you awake at nights thinking about it, it will provide you with opportunities to make money from it too. For example, once you have a project/activity that you live for, be it surfing, stamp collection, video games, mobile phones, you could start a local club. Once the club is established you can start a club website. Once the website is up and running you can introduce products to promote the club and your project/activity. You get the picture? You probably have seen the film 'Pay it forward'. Well, you can use the same principle in establishing an online business. Give something valuable first and then you'll get your opportunities to reap your rewards.

Get software to automatically distribute your newsletters and automatically sort any emails you get in reply to your posts. Set up autoresponders signup new members and to respond to email queries; automate, automate, automate...

5. Once you have enough members and you have an established, loyal group of followers, you can introduce your promotional products and other services that you now want to sell and make money from as a business. You'll have to be gentle and do this bit by bit. You may also find it useful to have another, separate, commercial site for this purpose and simply direct your members there from your 'signature files' or 'letterheads' you send out as part of your club newsletter. By now you should have enough experience in setting up and running a website from step 3 above. If you did have a separate commercial site you run a smaller risk of offending 'purist' club members.

6. Review the operation of your site, experiment and test the effect of site layout, content, headlines etc. Review and look for opportunities to further automate anything that you can to make your site 'self-sustaining'. If you do this you should be able to get yourself more free time to actually enjoy your hobby/project and to go out and look for more new material (advice, tips and news) that you can send out to you members. Once you have a website running and are making money out of it, it is very easy to forget that without new content and looking after your members your business will not survive. So make sure that the time you have freed up by automating your processes, you put back into searching for and providing fresh content and keep on provide a service to your members and keep in mind that they are members because they share your enthusiasm for the hobby and not for your business. Find a gentle balance between that hobby and your commercial interests.
